These Terms of Service (“Terms”) govern access to and use of the website located at nuemarketplaceinc.com and the related websites, online forms, early-access programs, pilot programs, communications, artificial-intelligence-assisted tools, procurement workflows, software features, buyer and supplier resources, and other services provided by Nue Marketplace Inc. (“Nue,” “we,” “us,” or “our”), collectively referred to as the “Services.”
By accessing or using the Services, submitting information, requesting early access, participating in a pilot, communicating with our online assistant, or otherwise interacting with Nue, you agree to these Terms and our Privacy Policy.
If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that situation, “you” and “your” refer to both you and the organization.
If you do not agree to these Terms, do not use the Services.
1. About Nue
Nue is developing business technology procurement decision software intended to help organizations:
- Structure business and technical purchasing requirements.
- Compare products, suppliers, proposals, and quotes.
- Identify missing information and possible procurement risks.
- Evaluate purchasing options and commercial terms.
- Understand potential buying paths.
- Organize procurement evidence for internal review and approval.
- Communicate with potential suppliers or service providers when authorized.
Nue is currently in a pre-launch and product-development stage. Features, workflows, interfaces, recommendations, availability, and service descriptions may change as the platform is developed and tested.
Unless expressly stated in a separate written agreement, Nue is not acting as:
- A retailer or seller of record.
- A distributor or manufacturer.
- A sourcing agency.
- A broker, fiduciary, or purchasing agent.
- A legal, tax, accounting, financial, compliance, cybersecurity, or engineering adviser.
- An authorized representative of any supplier or buyer.
2. Eligibility and Business Use
The Services are intended primarily for business and professional use.
You must be at least 18 years old and legally capable of entering into a binding agreement.
You may not use the Services if:
- You are prohibited from doing so under applicable law.
- Your access was previously suspended or terminated by Nue.
- You intend to use the Services for unlawful, fraudulent, deceptive, or abusive purposes.
3. Pre-Launch, Early-Access, Beta, and Pilot Services
Certain Services may be offered as pre-launch, beta, preview, evaluation, experimental, or pilot services.
These services may:
- Be incomplete or contain errors.
- Operate with limited functionality.
- Be changed, suspended, or discontinued.
- Be available only to selected participants.
- Require additional agreements, feedback, testing, or cooperation.
- Produce results that require human review.
- Experience interruptions or data loss.
- Have no guaranteed service level, uptime, response time, or continued availability.
Participation in an early-access or pilot program does not guarantee:
- Admission to future programs.
- Continued access.
- Free access to future paid services.
- Any particular functionality.
- A commercial relationship.
- Funding, supplier approval, procurement approval, or purchasing outcomes.
Nue may accept or reject early-access, pilot, supplier, or partner applications in its discretion.
4. Procurement Decision Support
Nue provides decision-support information. Nue does not make final procurement decisions for you.
You remain responsible for:
- Confirming your organization’s requirements.
- Verifying product specifications and compatibility.
- Reviewing quotes, contracts, warranties, licenses, support terms, delivery terms, return terms, and other commercial conditions.
- Conducting supplier due diligence.
- Evaluating security, privacy, regulatory, legal, and compliance requirements.
- Obtaining required internal approvals.
- Confirming pricing, availability, taxes, fees, and delivery dates.
- Determining whether a product, supplier, service, or recommendation is suitable.
- Making the final decision to contact, engage, contract with, or purchase from a supplier.
Nue does not guarantee:
- That any recommendation is the lowest-cost option.
- That any product or supplier is suitable for your needs.
- That quoted prices, inventory, or availability will remain current.
- That a supplier will accept your request or provide a quote.
- That a product will perform as described.
- That a transaction will be completed.
- Any savings, revenue, return on investment, business outcome, or implementation result.
- That identified risks are complete or that all risks will be detected.
5. Artificial Intelligence and Automated Outputs
The Services may use artificial intelligence, machine learning, scoring models, rules-based systems, automated comparisons, and similar technologies.
These technologies may help:
- Summarize requirements.
- Categorize procurement requests.
- Compare submitted information.
- Identify missing details.
- Flag potential inconsistencies or risks.
- Rank or organize possible options.
- Draft questions, summaries, or recommendations.
- Support website navigation and customer service.
Artificial-intelligence-generated or automated outputs may be inaccurate, incomplete, outdated, biased, or unsuitable for a particular situation.
You agree to independently review and verify important information before acting on it.
Automated outputs are not:
- Professional advice.
- A certification or approval.
- A warranty or guarantee.
- A binding quote.
- A contractual commitment.
- A substitute for supplier, legal, financial, security, compliance, or technical due diligence.
Where Nue provides a human review, that review remains limited by the quality, accuracy, and completeness of the information available.
6. Maya, Nue’s Online Assistant
“Maya, Nue Marketplace Inc. Online Assistant” is an automated, artificial-intelligence-assisted website tool.
Maya may:
- Answer general questions.
- Explain Nue’s services.
- Direct visitors to website pages or forms.
- Collect contact details.
- Collect general information about procurement needs.
- Escalate a request to a Nue representative.
Maya is not authorized to:
- Enter into contracts.
- Approve purchases.
- Bind Nue to pricing or commercial terms.
- Guarantee product or supplier performance.
- Provide legal, financial, compliance, cybersecurity, medical, or other licensed professional advice.
- Make final procurement decisions.
Statements made by Maya are not binding commitments by Nue unless separately confirmed in writing by an authorized Nue representative.
7. User Information and Submitted Materials
You may submit information including:
- Contact and company information.
- Procurement requirements.
- Product specifications.
- Budgets and timelines.
- Quotes and proposals.
- Supplier information.
- Documents, files, screenshots, spreadsheets, or messages.
- Feedback and support requests.
You retain ownership of materials you submit.
You grant Nue a nonexclusive, worldwide, royalty-free license to host, store, copy, process, analyze, display, transmit, and use submitted materials as reasonably necessary to:
- Provide the Services.
- Respond to your request.
- Produce comparisons or recommendations.
- Communicate with authorized suppliers or service providers.
- Maintain security and prevent misuse.
- Improve Nue’s systems, workflows, models, and services.
- Comply with law and enforce these Terms.
This license ends when the information is no longer reasonably needed, subject to lawful retention, backup, security, dispute-resolution, and de-identification requirements.
You represent that:
- You have the right and authority to submit the information.
- The information does not infringe another person’s rights.
- The information is accurate to the best of your knowledge.
- Your submission does not violate confidentiality, privacy, data-protection, employment, contractual, export-control, or other legal obligations.
- You have obtained any necessary organizational or third-party permissions.
8. Sensitive and Confidential Information
Do not submit through ordinary website forms, email, or Maya:
- Passwords or authentication credentials.
- Complete payment-card information.
- Social Security numbers or government identification numbers.
- Protected health information.
- Export-controlled technical information.
- Classified or restricted government information.
- Highly sensitive personal information.
- Proprietary source code.
- Confidential information that you are not authorized to disclose.
- Trade secrets requiring special handling.
Submission of information to Nue does not automatically create an attorney-client relationship, fiduciary relationship, professional duty, or nondisclosure agreement.
If confidential treatment is required, you should request and execute a separate written nondisclosure agreement before submitting the information.
9. Supplier and Partner Information
Suppliers, distributors, manufacturers, service providers, integration partners, and other participants may submit information about their businesses, products, services, certifications, capabilities, pricing, availability, coverage, or commercial terms.
Such participants are responsible for ensuring that their information is:
- Accurate.
- Current.
- Complete.
- Lawful.
- Not misleading.
- Supported by appropriate documentation.
Nue may review, organize, display, summarize, or compare supplier information, but Nue is not obligated to independently verify every statement.
A supplier’s inclusion, profile, badge, ranking, match, or participation does not necessarily mean that Nue:
- Endorses the supplier.
- Guarantees its performance.
- Certifies its products.
- Accepts responsibility for its conduct.
- Has entered into an exclusive relationship.
- Guarantees that it will receive buyer opportunities.
Nue may remove, suspend, restrict, or decline supplier or partner participation at any time.
10. Supplier Introductions and Third-Party Transactions
At your request, Nue may introduce you to suppliers, distributors, manufacturers, consultants, service providers, or other third parties.
Unless expressly stated in a separate written agreement:
- The third party is independent from Nue.
- Nue does not control the third party.
- Nue is not a party to the contract between you and the third party.
- The third party is responsible for its products, services, quotes, warranties, fulfillment, support, security, compliance, and contractual obligations.
- You are responsible for reviewing and accepting the third party’s terms.
Nue is not responsible for:
- Supplier representations.
- Product defects.
- Service failures.
- Pricing changes.
- Inventory shortages.
- Shipping or delivery delays.
- Data-security incidents caused by third parties.
- Contract disputes.
- Refunds, returns, warranties, or chargebacks.
- Implementation failures.
- Any loss caused by your relationship with an independent third party.
11. Accounts and Security
Future portions of the Services may require an account.
You are responsible for:
- Providing accurate account information.
- Maintaining the confidentiality of credentials.
- Restricting access to authorized users.
- Activities conducted through your account.
- Promptly notifying Nue of unauthorized access or security incidents.
You may not:
- Share credentials with unauthorized users.
- Attempt to access another user’s account.
- Bypass permissions or security controls.
- Misrepresent your identity or authority.
Nue may suspend access when we reasonably believe an account is compromised, being misused, or presents a security risk.
12. Fees, Paid Services, and Commercial Agreements
Some Services are currently offered without charge during pre-launch or evaluation.
Nue may introduce paid services, subscriptions, transaction fees, referral fees, implementation fees, consulting fees, or other commercial arrangements in the future.
Before charging you, Nue will provide applicable pricing or require a separate order form, subscription agreement, statement of work, purchase agreement, or other written acceptance.
Unless otherwise stated:
- Fees are quoted in United States dollars.
- Fees do not include applicable taxes.
- Payment obligations are noncancelable and nonrefundable once services are performed.
- Additional payment terms may be governed by a separate agreement.
If a separate signed agreement conflicts with these Terms, the signed agreement controls for the subject matter it covers.
13. Acceptable Use
You may not use the Services to:
- Violate any law or regulation.
- Commit fraud or impersonate another person.
- Submit false or misleading procurement information.
- Infringe intellectual-property, privacy, publicity, confidentiality, or contractual rights.
- Upload malware, harmful code, or corrupted files.
- Probe, scan, test, attack, or bypass security systems.
- Reverse engineer, decompile, or attempt to extract source code except where prohibited by law.
- Scrape, crawl, harvest, or systematically copy the Services without written permission.
- Interfere with service operation or another user’s access.
- Use automated systems in a manner that creates excessive load.
- Resell, sublicense, or commercially exploit the Services without authorization.
- Use Nue’s outputs to train a competing model or service without written permission.
- Use the Services to make unlawful discriminatory decisions.
- Submit controlled, illegal, fraudulent, counterfeit, stolen, or prohibited products or services.
- Use the Services for weapons, harmful substances, illegal surveillance, exploitation, or other prohibited activity.
Nue may investigate suspected violations and cooperate with lawful authorities.
14. Intellectual Property
The Services and their contents are owned by Nue or its licensors and are protected by intellectual-property laws.
This includes:
- Software.
- User interfaces.
- Workflows.
- Databases and data structures.
- Scoring systems.
- Recommendation methods.
- Procurement taxonomies.
- Text and graphics.
- Logos and branding.
- The Nue Intelligence Core.
- Reports, templates, and platform designs.
- Aggregated and de-identified insights.
- Documentation and training materials.
Subject to these Terms, Nue grants you a limited, nonexclusive, nontransferable, revocable right to use the Services for your internal business purposes.
No ownership rights are transferred to you.
You may not use Nue’s trademarks, branding, content, software, or proprietary materials without written authorization.
15. Feedback
If you submit ideas, suggestions, comments, feature requests, testing results, or other feedback, you grant Nue a perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate that feedback without payment or obligation to you.
This provision does not transfer ownership of your underlying confidential business information or submitted procurement documents.
16. Third-Party Platforms and Links
The Services may use or link to third-party platforms, including Shopify, Google, Meta, Jotform, Klaviyo, suppliers, payment providers, cloud providers, and other technology services.
Third-party services are governed by their own terms and privacy policies.
Nue does not control and is not responsible for:
- Third-party availability.
- Content.
- Security.
- Privacy practices.
- Products.
- Services.
- Policies.
- Representations.
- Actions or failures.
A link, integration, or reference does not necessarily constitute endorsement.
17. Privacy
Our collection and use of personal information are described in our Privacy Policy.
By using the Services, you acknowledge that information may be processed by Nue and our service providers as described in that policy.
18. Electronic Communications
You consent to receive electronic communications related to:
- Your account.
- Applications.
- Procurement requests.
- Pilot participation.
- Security notices.
- Service updates.
- Administrative matters.
- Transactions or agreements.
- Changes to the Services or these Terms.
Electronic communications satisfy legal requirements that communications be in writing, where permitted by law.
Marketing communications remain subject to applicable consent and unsubscribe requirements.
19. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided “as is” and “as available.”
Nue disclaims all express, implied, statutory, and other warranties, including warranties of:
- Merchantability.
- Fitness for a particular purpose.
- Title.
- Noninfringement.
- Accuracy.
- Reliability.
- Availability.
- Security.
- Compatibility.
- Uninterrupted operation.
- Error-free performance.
Nue does not warrant that:
- The Services will meet your requirements.
- The Services will always be available.
- Errors will be corrected.
- Data will never be lost.
- Recommendations will be accurate.
- Risks will always be detected.
- Suppliers or products will perform as expected.
- Any procurement, financial, operational, or business objective will be achieved.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
20. Limitation of Liability
To the fullest extent permitted by law, Nue and its officers, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for:
- Indirect damages.
- Incidental damages.
- Special damages.
- Exemplary or punitive damages.
- Consequential damages.
- Lost profits or revenue.
- Lost savings.
- Lost business opportunities.
- Loss of goodwill.
- Loss or corruption of data.
- Business interruption.
- Supplier or third-party conduct.
- Procurement or implementation failures.
This limitation applies regardless of the legal theory and even if Nue was advised that damages were possible.
To the fullest extent permitted by law, Nue’s total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of:
- The amount you paid directly to Nue for the Services giving rise to the claim during the 12 months before the event giving rise to liability; or
- One hundred United States dollars.
These limitations do not apply to liability that cannot legally be excluded or limited.
21. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Nue and its officers, directors, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from:
- Your use or misuse of the Services.
- Your submitted materials.
- Your violation of these Terms.
- Your violation of law.
- Your infringement of another person’s rights.
- Your procurement, supplier, product, or transaction decisions.
- Your relationship or dispute with a supplier or third party.
- Actions taken through your account.
Nue may assume control of the defense of a claim, and you agree to cooperate reasonably.
22. Suspension and Termination
Nue may suspend, limit, or terminate your access if:
- You violate these Terms.
- You misuse the Services.
- Your activity creates legal, security, operational, or reputational risk.
- Payment is overdue.
- Required by law or a third-party provider.
- The Services or program are discontinued.
- Continued access is not commercially or technically feasible.
You may stop using the Services at any time.
Termination does not eliminate obligations or rights that arose before termination.
Provisions concerning ownership, feedback, confidentiality, disclaimers, liability, indemnification, disputes, and other provisions that by their nature should survive will remain effective.
23. Changes to the Services and Terms
Nue may modify, suspend, or discontinue any part of the Services.
We may update these Terms to reflect changes in:
- The Services.
- Our business model.
- Technology.
- Legal obligations.
- Security requirements.
- Commercial practices.
Updated Terms will be posted on the website with a revised “Last updated” date.
Your continued use of the Services after an update constitutes acceptance of the revised Terms where permitted by law.
If a material change requires separate consent, we will request it.
24. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Subject to any law that requires otherwise, legal proceedings arising from these Terms or the Services must be brought in the state or federal courts located in Broward County, Florida.
You and Nue consent to the personal jurisdiction and venue of those courts.
25. Export Controls and Sanctions
You may not use, export, re-export, transfer, or make the Services available in violation of United States export-control or sanctions laws.
You represent that you are not:
- Located in a prohibited jurisdiction.
- Listed on a restricted-party list.
- Acting on behalf of a prohibited person or entity.
26. General Provisions
Entire Agreement
These Terms, the Privacy Policy, and any applicable written agreement form the agreement between you and Nue regarding the Services.
Order of Precedence
A separately signed agreement controls over these Terms to the extent of a direct conflict.
Severability
If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.
No Waiver
Failure to enforce a provision does not waive the right to enforce it later.
Assignment
You may not assign these Terms without Nue’s written consent. Nue may assign these Terms in connection with a merger, financing, restructuring, acquisition, asset sale, or similar transaction.
No Third-Party Beneficiaries
These Terms do not create rights for third parties except where expressly stated.
Headings
Headings are provided for convenience and do not affect interpretation.
